Item 1.01.  Entry into a Material Definitive Agreement.

On June 19, 2019, Inogen, Inc. (the “Company”), entered into a commercial and industrial building lease (the “Lease”), by and between the Company and RAF Pacifica Group – Real Estate Fund IV, LLC, a California limited company; APG Hollywood Center, LLC, a California limited liability company; and APG Airport Freeway Center, LLC, a California limited liability company, for approximately 50,000 rentable square feet located at 301 Coromar Drive, Goleta, California 93117 (collectively, the “New Headquarters”). The Lease will replace the lease for the Company’s existing Goleta headquarters, which expires on October 31, 2020. The term of the Lease commences on November 1, 2020, at which time the Company expects to move to the New Headquarters and expires on December 31, 2030. The minimum monthly base rent under the Lease will initially be approximately $94,660 per month. Base rent will increase annually by the lesser of the change, if any, in the Consumer Price Index of the Bureau of Labor Statistics of the U.S. Department of Labor or three and one-half percent (3.5%) at each annual adjustment date thereafter. The Lease also grants to the Company two options to renew the Lease for an additional five (5) years each, commencing when the prior term expires, at the then prevailing fair market rental rate and otherwise pursuant to the terms and conditions of the Lease.
